Contract drafting and review

We handle contract drafting in Ukraine and contract review for LLCs, sole proprietors (FOPs), nonprofits and Diia City residents. Our lawyers work side by side with accountants and a tax team, so every contract is also checked for its tax consequences.

We work in Kyiv and across Ukraine, remotely and in English.

Contract review: what we check

A contract review shows where you risk money while the terms can still be changed. We read the contract from your side of the deal and check both legal and tax risks.

Scope and payment

What exactly you get, the price, currency, payment terms and what happens to an advance if the deal falls through.

Liability and penalties

Whether obligations are balanced and penalties are enforceable. By law, a late-payment penalty is capped at twice the National Bank of Ukraine discount rate.

Force majeure

How and when to notify the other party and what evidence to use. Ukrainian courts do not treat the war alone as a reason to excuse non-performance: you must show how it actually prevented you from performing.

Termination and disputes

How to exit the contract, which court or arbitration hears a dispute, and which law governs it.

Tax consequences

VAT, supporting documents, transfer pricing rules for related-party deals, and currency control for cross-border payments.

Bilingual versions

Whether the English and Ukrainian texts match, and which version prevails if they differ.

A common case: the contract is legally sound, but it does not say clearly what service was provided. During an audit, the State Tax Service may then question your expenses and input VAT. We catch this before signing, not after the audit report.

Contract drafting in Ukraine: what we prepare

We draft each contract around your deal instead of filling in a template.

Supply and sale

Delivery terms, acceptance of goods, transfer of risk and returns.

Services and works

Deliverables, acceptance, milestones, acts of acceptance and staged payments.

Lease

Premises, equipment or vehicles: rent, indexation, repairs and return of property.

Contractors and freelancers

Contracts with FOPs and freelancers that focus on results, not working hours, and transfer the rights to the work to you.

Public offer and website terms

For online stores, services and courses: terms of sale, payment, refunds and website rules.

Cross-border and bilingual contracts

Contracts with foreign partners in English or in two languages, with currency control and tax in mind.

Buying or leasing property with a full check of the object and the seller is a separate service: real estate transaction support.

Drafting from scratch or revising a draft

Draft from scratch when the deal is unusual or the contract will become your standard template. If the other side has sent a draft, or you have an old template, revising it is faster. We mark up the text in track changes and explain every edit.

We also take part in negotiations. We respond to the other side’s comments, argue for your edits and join meetings when needed. Before that, we sort the edits into must-haves and points you can give up to close the deal faster.

3

We review or draft

A lawyer works on the text, while accountants and the tax team check the tax side.

4

You get the result

A marked-up contract and a plain-English summary of risks, plus support until signing.

What affects the cost and timeline

The cost depends on the contract, so we quote it after a first look at the documents and before work starts.

Length and complexity

Number of pages, annexes and parties, unusual terms.

Type of work

Review, revision or a new contract from scratch.

Language and negotiations

Frequently asked questions

What does a contract review cover?

We check the scope, price and payment terms, deadlines, liability, penalties, force majeure, termination and dispute resolution. We also check that the contract complies with Ukrainian law and that its clauses do not contradict each other. On top of that, our tax team reviews VAT, supporting documents, transfer pricing and currency control.

Do you draft and review contracts in English?

Yes. We draft and review contracts in English and bilingual English-Ukrainian contracts. In a bilingual contract, we make sure both versions match and state which one prevails. Our accountants who later handle the deal in your books also communicate in English.

Do you take part in negotiations?

Yes. We respond to the other side’s comments, argue for your position and join meetings when needed. Before talks, we explain which terms are critical and where you can compromise. We keep all edits in a single version, so there is no confusion about which draft is final.

How can a contract affect taxes in Ukraine?

The contract terms affect when VAT becomes due, which supporting documents you need and whether the tax office accepts your expenses. A deal with a related foreign company may fall under transfer pricing rules. That is why our lawyers review contracts together with accountants.

What if the other side has already breached the contract?

Then it is a dispute rather than a review. We prepare a claim letter and try to settle out of court first. If court is needed, we prepare the position and work with partner attorneys. Learn more about business dispute resolution.
